Terms of Service — AI Proposal Writer for Upwork

These Terms of Service ("Terms") govern your use of AI Proposal Writer for Upwork ("the Extension," "the Service," "we," "us"). By installing or using the Extension you agree to these Terms.

If you do not agree, uninstall the Extension and stop using the Service.

1. Service description

The Extension helps Upwork freelancers draft proposals using Claude AI. You install it as a Chrome extension; you provide profile information; the Extension reads job data from Upwork pages you visit and generates proposal text for your review. You always review and submit proposals yourself — the Extension never sends anything to Upwork on your behalf.

2. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use the Service. You must have your own Upwork account in good standing. We are not affiliated with, endorsed by, or sponsored by Upwork Global Inc.

3. Account

One account per person. Sharing accounts is not allowed.
You are responsible for keeping your password confidential and for all activity under your account.
You may sign in with email + password or with Google OAuth.
We may suspend or terminate accounts that violate these Terms (see § 9).

4. Plans and pricing

We offer two plans:

Free — $0, 10 proposals per calendar month.
Pro — $15 per month (USD), 150 proposals per calendar month.

Both plans use the same AI model (Claude Opus 4.7) and the same feature set. The only enforced difference is the monthly proposal cap.

Prices are listed in US Dollars. Polar.sh acts as the Merchant of Record and handles taxes for your jurisdiction. Your card is billed by Polar.sh; we never see your card number.

We may change pricing with at least 30 days' notice to existing subscribers. Changes apply to your next billing period.

5. Subscription, billing, and cancellation

The Pro plan renews monthly until cancelled.
You can cancel at any time from the Extension's Plans & Billing screen.
Cancellation is effective at the end of the current billing period. You keep Pro access until that date and will not be charged again.
You can reactivate a scheduled cancellation any time before the period ends.
Your monthly proposal count resets on the 1st of each calendar month, regardless of when you signed up.

6. Refunds

Refunds are governed by our Refund Policy. In short:

Eligible if you have used 10 or fewer proposals in your current billing period.
Refund requests are reviewed and issued at our discretion.
A full refund triggers immediate downgrade to Free.

7. Generated content

You own the proposals the Extension generates for you. The Extension is a tool; what you do with the output is your responsibility.

You agree to:

Review every generated proposal before submitting it on Upwork.
Comply with Upwork's own Terms of Service, including their rules about AI use.
Not represent generated content as the work of someone else.
Not use the Service to deceive clients about your skills, experience, or location.

We do not guarantee any particular outcome (job won, proposal accepted, response received). Proposal quality depends on your profile data, the job, the client, and many factors outside our control.

8. Acceptable use

You agree not to:

Reverse-engineer the Extension or attempt to extract our prompts.
Resell, sublicense, or commercially redistribute the Service.
Use the Service to generate content that violates Upwork's policies or applicable law.
Submit profile data that impersonates another person.
Use automated tools to bulk-generate proposals beyond your plan's monthly limit.
Attempt to bypass rate limits, plan limits, or authentication.

We process job descriptions you submit through the Anthropic API. We have implemented anti-prompt-injection defences, but if a job description contains content prohibited by Anthropic's Acceptable Use Policy, the request may be rejected.

9. Account termination

We may suspend or terminate your account if you:

Violate these Terms or our Acceptable Use rules.
Fail to pay (Pro plan).
Engage in fraud, chargebacks without contacting us first, or abusive behaviour toward our team.

You may delete your account at any time by emailing support@approidtech.com. Deletion removes your profile, templates, history, and plan-change records. Anonymous usage logs are retained for 90 days for billing reconciliation, then deleted.

10. Service availability

We provide the Service on a best-effort basis. We do not guarantee uninterrupted availability. Planned downtime is rare; unplanned outages may occur due to issues at our hosting provider, the Anthropic API, our payment processor, or our database. We are not liable for damages caused by outages outside our control.

11. Intellectual property

The Extension code, prompts, branding, and infrastructure are owned by us. Generated proposals belong to you (see § 7). Upwork's logos and trademarks belong to Upwork Global Inc. Claude is a trademark of Anthropic.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will:

Win you Upwork contracts.
Generate output that always passes AI-detection tools.
Be error-free or available at all times.
Continue to be supported on future versions of Upwork's website.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

For Free plan users, this limit is $0 — meaning no monetary recovery is available.

14. Indemnification

You agree to defend and hold us harmless from any claim, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction where the company operates, without regard to conflict-of-laws principles. Disputes will be resolved through binding arbitration before a court of competent jurisdiction in our principal place of business, except where prohibited by law.

You may also raise complaints with consumer protection authorities in your country.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
